VigMD Affiliate Program Terms & Conditions				Effective Date: May 1st, 2026

These Affiliate Program Terms & Conditions (“Terms”) govern participation in the VigMD Affiliate Program operated by VigMD (“Company,” “VigMD”). By applying to or participating in the VigMD Affiliate Program (“Program”), You (“Affiliate”) expressly agree to comply with and be bound by the following terms and Conditions.

1. 	Program Overview.  The VigMD Affiliate Program allows approved referral partners to promote certain VigMD products and services through unique tracking links, codes, or other referral mechanisms supplied or approved by VigMD. Participation in the Program is by invitation or approval only and is subject at all times to VigMD’s prior and continuing approval.  VigMD may approve, reject, suspend, restrict, or terminate any Affiliate, application, promotional channel, campaign, advertisement, landing page, content, traffic source, referral link, discount code, or other Program activity at any time, with or without cause, in VigMD’s sole discretion. Approval of an Affiliate does not constitute approval of any particular marketing activity, promotional content, claim, channel, or traffic source. Affiliate shall provide complete, current, and accurate information during onboarding and throughout participation in the Program, including all websites, social media accounts, email lists, paid media accounts, landing pages, agencies, subcontractors, and other channels or persons used in connection with the Program. Affiliate shall promptly notify VigMD of any material changes to such information. Nothing in these Terms grants Affiliate any exclusive rights, territory, customer ownership, or guaranteed commission opportunity. VigMD may modify, suspend, discontinue, reprice, restrict, or withdraw any product, service, offer, commission structure, referral method, or Program feature at any time.

2. 	Independent Contractor Relationship.  Affiliate is an independent contractor and is not an employee, agent, legal representative, partner, franchisee, joint venturer, broker, healthcare provider, pharmacy representative, prescriber, clinical advisor, or fiduciary of VigMD. Affiliate has no authority to bind VigMD or to make any representation, warranty, commitment, guarantee, offer, discount, refund, clinical statement, prescription-related statement, or other promise on behalf of VigMD.  Affiliate shall not represent or imply that Affiliate is employed by, endorsed by, medically affiliated with, clinically supervised by, or authorized to speak on behalf of VigMD, any VigMD-affiliated pharmacy, medical practice, provider, prescriber, clinician, or vendor. Affiliate shall not hold itself out as a VigMD office, VigMD clinic, VigMD telehealth provider, VigMD pharmacy, or official VigMD customer support channel.  Affiliate is solely responsible for all costs, taxes, expenses, employees, contractors, agents, equipment, platforms, and business operations used in connection with Affiliate’s participation in the Program. Affiliate shall not be entitled to any salary, benefits, reimbursement, workers’ compensation, unemployment insurance, or other employee-type benefits from VigMD.

Affiliate shall not and will not permit those acting in concert or connection with them:

negotiate pricing, payment terms, prescriptions, clinical eligibility, refunds, discounts, or product availability;

collect, or attempt to collect, any payment(s) on behalf of VigMD;

provide customer service on behalf of VigMD unless expressly authorized in writing;

make medical, clinical, therapeutic, diagnostic, treatment, cure, prevention, or outcome claims;

imply that any customer will qualify for treatment, medication, prescription approval, or a particular clinical result; or

use VigMD’s name, trademarks, or materials except as expressly permitted under these Terms.

3. 	Commissions; Qualified Transactions; Payment.

3.1	Commission Eligibility. Subject to these Terms and Affiliate’s continued compliance therewith, Affiliate may be eligible to receive commissions on Qualified Transactions generated through Affiliate’s unique referral link, code, or other tracking mechanism supplied or approved by VigMD. Affiliate shall not be entitled to any commission unless the transaction is tracked, attributed, validated, and approved by VigMD in accordance with VigMD’s records and Program policies.

3.2	Qualified Transactions.  A “Qualified Transaction” means a bona fide purchase by a new, eligible customer that:

originates through Affiliate’s unique referral link, code, or other approved tracking method;

is completed through VigMD’s authorized checkout, intake, or ordering process;

is paid for in full with funds actually received and retained by VigMD;

is not refunded, canceled, reversed, charged back, credited, disputed, declined, fraudulent, duplicative, self-referred, or otherwise invalid;

complies with these Terms, all Program policies, and all applicable laws, rules, regulations, and platform requirements;

is not generated through prohibited marketing activity, unauthorized incentives, coupon abuse, trademark bidding, cookie stuffing, forced clicks, misleading links, fake leads, bots, automated traffic, or other manipulation; and

is not excluded by VigMD in good faith based on compliance, regulatory, clinical, payment, fraud, customer eligibility, or operational considerations.

For avoidance of doubt, no commission is earned merely because a customer clicks a link, submits an intake form, creates an account, books a consultation, begins checkout, receives marketing materials, or is clinically evaluated. VigMD may deny or reverse commission eligibility if the underlying transaction is not completed, approved, fulfilled, retained, or otherwise accepted by VigMD.

3.3	Commission Base.  Unless otherwise agreed in writing, commissions shall be calculated as fifteen percent (15%) of Net Revenue from Qualified Transactions. “Net Revenue” means the amounts actually received and retained by VigMD from a Qualified Transaction, less all refunds, chargebacks, credits, discounts, coupons, rebates, taxes, shipping, handling, payment processing fees, fulfillment charges, third-party platform fees, pharmacy or provider charges, and other amounts not retained by VigMD as revenue.

3.4	Payment Schedule; Threshold.  Commissions approved by VigMD shall be paid monthly, provided that Affiliate has accrued at least One Hundred Dollars ($100) in approved, payable commissions and has supplied all required payment, banking, tax, compliance, and onboarding documentation. Commissions below the minimum payout threshold shall roll forward until the threshold is met, unless Affiliate’s participation in the Program is terminated or the commissions are otherwise forfeited.

3.5.	Validation; Withholding; Reversals.  All commissions are subject to VigMD’s review, validation, and approval before payment. VigMD may withhold, delay, deny, reverse, or offset commissions if VigMD determines, in good faith, that the transaction or Affiliate activity may involve fraud, noncompliance, refund risk, chargeback risk, customer complaints, regulatory risk, tracking error, platform abuse, breach of these Terms, or other conduct harmful to VigMD. VigMD may offset any overpayment, reversal, refund, chargeback, or other amount owed by Affiliate against future commissions.

3.6 	Tracking and Attribution.  VigMD’s tracking, attribution, and payment records shall control for purposes of determining commission eligibility. VigMD is not responsible for lost, blocked, deleted, expired, or interrupted cookies; user privacy settings; ad blockers; browser settings; platform restrictions; incorrect links; technical failures; duplicate referrals; or other circumstances that prevent tracking or attribution.

3.7 	Taxes and Payment Information.  Affiliate is solely responsible for and agrees to promptly pay all taxes, withholdings, reporting obligations, and governmental charges arising from commissions paid. VigMD may require Affiliate to provide a completed IRS Form W-9, Form W-8, banking information, identity verification, or other documentation before paying any commission. VigMD may withhold payments as required by law or until required documentation is received.

3.8 	No Circumvention or Commission Manipulation.  Affiliate shall not engage in self-referrals, artificial transactions, duplicate accounts, unauthorized coupon distribution, cookie stuffing, forced clicks, click farms, paid-to-click traffic, bot traffic, lead brokering, fake reviews, fake testimonials, misleading redirects, domain forwarding, or any other practice intended to manipulate tracking, attribution, customer acquisition, or commission eligibility.  This list of prohibited activities is not exhaustive and VigMD reserves the right to terminate Affiliate’s participation in the Program if VigMD suspects Affiliate has violated any of these Terms.  Any such decision by VigMD is final and not subject to review.

3.9	Illustrative Tier Examples; No Guaranteed Tier Structure.  Any affiliate tiers, downline examples, commission waterfalls, percentage allocations, or similar illustrations provided by VigMD, including the examples shown on the “VigMD Affiliate Program Tiers” document, are provided for illustrative purposes only and do not constitute a binding commission schedule, guaranteed compensation structure, promise of future earnings, or commitment by VigMD to maintain any particular tier, rate, override, downline, or multi-level commission arrangement. Actual commission eligibility, rates, attribution, overrides, payment rights, and tier participation, if any, shall be determined solely by VigMD in accordance with these Terms, the applicable Program policies, and VigMD’s written approval. VigMD may modify, suspend, limit, or discontinue any tier structure, override payment, referral level, commission rate, or related Program feature at any time, with or without notice, and no Affiliate shall have any vested right in any tier, downline, override, future commission, or anticipated earnings. No Affiliate may represent, advertise, or imply that the illustrative tier examples reflect guaranteed earnings, guaranteed compensation, passive income, investment returns, business opportunities, or assured participation in any multi-level or downline commission structure. Any unauthorized use or promotion of such examples in a misleading manner shall constitute a material violation of these Terms and may result in suspension or termination of Affiliate’s participation in the Program, forfeiture of unpaid commissions, and any other remedies available to VigMD.

4. 	Prohibited Marketing Activities.  Affiliate shall conduct all Program activities in a lawful, truthful, transparent, professional, and brand-protective manner. Affiliate shall not engage in any marketing, advertising, promotional, lead generation, or referral activity that VigMD determines, in its sole discretion, is unlawful, misleading, deceptive, noncompliant, inappropriate, harmful to VigMD’s reputation, or inconsistent with VigMD’s clinical, regulatory, pharmacy, brand, or business requirements.

Without limiting the foregoing, Affiliate shall not:

make any false, misleading, deceptive, unfair, exaggerated, or unsubstantiated claim regarding VigMD, its products, services, providers, pharmacies, prescriptions, treatment options, pricing, availability, customer eligibility, customer experience, or expected results;

make any medical, clinical, therapeutic, diagnostic, treatment, cure, prevention, weight-loss, sexual-health, hormone, wellness, disease, prescription, medication, compounded-drug, or health-outcome claim unless the exact claim has been approved in writing by VigMD before use;

state or imply that a customer is guaranteed to receive a prescription, medication, clinical approval, treatment, diagnosis, refund, discount, specific result, or particular outcome;

provide medical advice, clinical recommendations, medication guidance, dosage information, diagnosis, treatment recommendations, or instructions regarding the use, discontinuation, substitution, or effectiveness of any medication, product, or service;

use testimonials, endorsements, influencer content, reviews, ratings, before-and-after images, case studies, patient stories, or claims of results unless such content has been approved in writing by VigMD and includes all disclosures required by VigMD and applicable law;

misrepresent Affiliate’s relationship with VigMD or imply that Affiliate is VigMD, an official VigMD account, a VigMD provider, a VigMD pharmacy, a VigMD clinic, or an authorized customer service channel;

send spam, unsolicited email, unsolicited text messages, autodialed calls, robocalls, ringless voicemails, direct messages, or other electronic communications in violation of CAN-SPAM, TCPA, state mini-TCPA laws, platform rules, or other applicable requirements;

use any lead list, purchased data, scraped data, co-registration path, comparison-shopping site, quiz funnel, survey funnel, giveaway, sweepstakes, or incentive-based lead generation method unless approved in writing by VigMD;

bid on, purchase, own, or use VigMD trademarks, trade names, including any misspellings, confusingly similar terms, branded keywords, domain names, metatags, search terms, social handles, app names, or marketplace listings without VigMD’s prior written approval;

create or use any website, landing page, advertisement, social media account, group, handle, domain, subdomain, URL, mobile application, marketplace page, or profile that impersonates VigMD or is confusingly similar to VigMD’s brand;

use coupon, cashback, loyalty, rewards, rebate, points, paid-to-click, incentivized traffic, or discount-code promotion unless expressly authorized in writing by VigMD;

generate fake traffic, fake leads, artificial clicks, bot traffic, duplicate accounts, self-referrals, fraudulent transactions, forced clicks, cookie stuffing, toolbar traffic, browser extensions, pop-ups, pop-unders, redirects, adware, spyware, malware, or other deceptive or manipulative traffic;

promote VigMD on or through any content, platform, or placement involving pornography, sexually explicit material, hate speech, violence, illegal drugs, illegal activity, gambling, weapons, minors in inappropriate contexts, harassment, discrimination, or other material that VigMD determines, in its sole and exclusive discretion, is objectionable;

target minors or knowingly collect, process, or transmit information from minors;

use VigMD content or marks in a manner that violates applicable platform advertising rules, search engine policies, social media policies, pharmacy rules, telehealth rules, healthcare advertising standards, or professional licensing requirements; or

continue using any content, claim, link, ad, post, page, or campaign after VigMD requests modification, suspension, or removal.

Violation of this Section may result in immediate suspension or termination, disabling of links, forfeiture or reversal of commissions, demand for removal of content, indemnity obligations, and any other remedies available to VigMD.

5. 	Compliance, Disclosures & Records.  Affiliate is solely responsible for ensuring that all Program activities, promotional content, communications, claims, endorsements, testimonials, data practices, and marketing activities comply with all applicable federal, state, and local laws, rules, regulations, guidance, and industry standards, including, as applicable, the Federal Trade Commission Act, FTC Endorsement Guides, FTC health advertising guidance, CAN-SPAM, TCPA, state telemarketing and mini-TCPA laws, privacy and data protection laws, consumer protection laws, platform rules, and advertising network policies.  Affiliate shall clearly and conspicuously disclose its material connection to VigMD in all posts, videos, emails, messages, pages, advertisements, endorsements, testimonials, reviews, links, and other promotional content. Disclosures must be unavoidable, easy to understand, placed close to the claim or affiliate link, visible before a consumer clicks or purchases, and presented in the same medium as the promotional claim. Disclosures may not be hidden in a profile bio, terms page, footer, hashtag stack, “more” link, separate webpage, or other location a consumer is unlikely to notice.

Unless VigMD approves alternative language in writing, Affiliate shall use disclosures substantially similar to the following, as applicable:

“This post contains affiliate links. I may earn a commission if you purchase through my link.”

“I am a VigMD affiliate and may earn a commission from qualifying purchases.”

Affiliate shall not use vague or unclear disclosures including but not limited to “#sp,” “#partner,” “thanks VigMD,” or other language that does not clearly disclose the affiliate relationship.  Affiliate shall maintain complete and accurate records of all Program-related promotional materials, campaigns, disclosures, consents, traffic sources, lead sources, and compliance documentation for at least three (3) years and shall provide such records to VigMD upon request. VigMD may monitor Affiliate’s Program activities and may require Affiliate to modify, suspend, or remove any content or campaign at any time.

6. 	Approved Promotional Channels.  Affiliate may promote VigMD only through channels that Affiliate has disclosed to VigMD and that VigMD has approved, either through the Program platform, written approval, or other authorized process. Approved channels may include, subject to VigMD’s continuing approval, personal websites or blogs, social media accounts, email newsletters, podcasts, video content, or other channels expressly authorized by VigMD.

Affiliate must obtain VigMD’s prior written approval before using any of the following in connection with the Program: paid search, paid social, display advertising, retargeting, native advertising, email campaigns, SMS/text campaigns, direct mail, call campaigns, lead generation funnels, quiz or survey funnels, coupon sites, cashback sites, influencer networks, affiliate sub-networks, subcontractors, agencies, media buyers, third-party landing pages, comparison sites, or any campaign involving medical, clinical, prescription, treatment, outcome, or health-related claims.

Affiliate shall not use any channel, platform, content, audience, or promotional method that VigMD has not approved or that VigMD later disapproves. VigMD may require Affiliate to modify, pause, disable, or remove any campaign, post, ad, email, text message, landing page, video, podcast, or other promotional content at any time. Affiliate is solely responsible for ensuring that each promotional channel complies with these Terms, all applicable laws, and all platform terms. Approval of a channel does not waive Affiliate’s compliance obligations and does not constitute approval of any particular claim, advertisement, disclosure, communication, or campaign.

7. 	Intellectual Property; Brand Use.  Subject to Affiliate’s compliance with these Terms, VigMD grants Affiliate a limited, revocable, non-exclusive, non-transferable, non-sublicensable license during the Term to use only those VigMD trademarks, logos, trade names, images, copy, links, and marketing materials that VigMD expressly provides or approves, solely for the purpose of participating in the Program (the “License”).

Affiliate shall not:

alter, modify, distort, animate, combine, or create derivative works of VigMD’s trademarks, logos, product images, marketing materials, or brand assets;

use VigMD’s intellectual property in any manner not expressly approved by VigMD;

register, purchase, or use any domain name, subdomain, social media handle, username, app name, business name, trade name, keyword, metatag, search term, or advertising account that contains or is confusingly similar to any VigMD mark, name, product name, or misspelling thereof;

attempt to purchase, retain, own, or otherwise offer to buy any of VigMD’s trademarks, branded keywords, confusingly similar terms, or misspellings in any search, social, marketplace, or advertising platform without VigMD’s prior written approval;

imply ownership of, affiliation with, sponsorship by, endorsement by, or control over VigMD or VigMD’s intellectual property;

sublicense, transfer, sell, distribute, or authorize any third party to use VigMD’s intellectual property; or

use VigMD’s intellectual property in connection with any unlawful, deceptive, offensive, noncompliant, or unauthorized content.

All goodwill arising from Affiliate’s use of VigMD’s intellectual property shall inure solely to the benefit of VigMD. VigMD may revoke Affiliate’s License at any time. Upon termination or upon VigMD’s request, Affiliate shall immediately stop using all VigMD intellectual property and remove all VigMD marks, links, materials, and references from Affiliate’s websites, social media accounts, advertisements, email flows, landing pages, videos, podcasts, printed materials, and other channels. Affiliate acknowledges that unauthorized use of VigMD’s intellectual property may cause irreparable harm for which monetary damages may be inadequate, and VigMD shall be entitled to seek injunctive relief in addition to any other available remedies, all such remedies being cumulative.

8. 	Refunds; Chargebacks; Reversals; Setoff.  Commissions may be denied, reversed, withheld, clawed back, or offset if the underlying transaction is refunded, canceled, credited, disputed, charged back, declined, deemed fraudulent, deemed noncompliant, or otherwise determined by VigMD not to be a Qualified Transaction.  If VigMD pays a commission and later determines that the commission was not payable, Affiliate shall promptly repay the amount upon request. VigMD may offset any such amount against future commissions or other amounts payable to Affiliate. If Affiliate’s account reflects a negative balance, VigMD may withhold future payments until the negative balance is satisfied. VigMD may establish reasonable reserves, delay payments, or extend validation periods for transactions involving elevated refund risk, chargeback risk, compliance risk, fraud risk, customer complaints, unusually high conversion rates, unusual traffic patterns, or other circumstances that VigMD determines warrant further review.  VigMD’s good-faith determination regarding refunds, chargebacks, reversals, tracking errors, compliance issues, fraud, and commission eligibility shall be final and binding absent manifest error.

9. 	Term; Suspension; Termination.  Either party may terminate Affiliate’s participation in the Program at any time, with or without cause, upon notice. VigMD may immediately suspend or terminate Affiliate’s participation, disable links or codes, withhold commissions, and require removal of content if VigMD determines, in its sole discretion, that Affiliate has violated these Terms, engaged in prohibited marketing, created regulatory or reputational risk, generated suspicious traffic, failed to provide requested information, or otherwise acted in a manner harmful to VigMD.

Upon termination or suspension:

Affiliate shall immediately stop promoting VigMD;

Affiliate shall stop using all VigMD trademarks, links, codes, content, logos, claims, and marketing materials;

Affiliate shall remove VigMD references from all websites, social media accounts, advertisements, landing pages, videos, podcasts, email flows, text campaigns, printed materials, and other promotional channels;

VigMD may disable Affiliate’s links, codes, tracking access, platform access, and promotional materials;

Affiliate shall not represent that it remains affiliated with VigMD; and

Affiliate shall cooperate with VigMD to confirm removal of all Program-related content.

Subject to VigMD’s validation rights, Affiliate may be paid approved, non-disputed commissions on Qualified Transactions completed before termination. No commissions shall be payable for transactions occurring after termination, transactions generated through noncompliant activity, or transactions that are later refunded, charged back, reversed, or determined not to be Qualified Transactions.  Sections relating to compliance, prohibited activities, intellectual property, payment reversals, confidentiality, data protection, indemnification, limitation of liability, dispute resolution, and post-termination obligations shall survive termination.

10. 	Medical, Clinical, Pharmacy, and Prescription Disclaimers.  Affiliate shall not provide medical advice, clinical advice, diagnosis, treatment recommendations, medication guidance, prescription guidance, dosage information, or pharmacy advice in connection with the Program. Affiliate shall not state or imply that any person will qualify for treatment, receive a prescription, obtain a particular medication, experience a particular result, or be approved by a healthcare provider.  All healthcare services, clinical evaluations, prescriptions, medication decisions, pharmacy fulfillment, and related matters are subject to independent clinical judgment, applicable law, patient eligibility, provider approval, pharmacy requirements, product availability, and VigMD’s policies and procedures. Results vary among individuals, and no outcome is guaranteed. If Affiliate is a licensed healthcare professional, Affiliate remains solely responsible for complying with all professional, licensing, ethical, advertising, telehealth, prescribing, and scope-of-practice requirements applicable to Affiliate. Affiliate’s professional license does not authorize Affiliate to speak on behalf of VigMD, make claims for VigMD, provide clinical services for VigMD, or create a provider-patient relationship with VigMD customers unless Affiliate has entered into a separate written agreement expressly authorizing such activities.  Affiliate shall use only medical, clinical, product, prescription, pharmacy, safety, eligibility, and outcome-related language that VigMD has approved in writing. Affiliate shall not alter, supplement, paraphrase, exaggerate, or expand any approved disclaimer, claim, or medical statement.

11. 	Disclaimer; Limitation of Liability.   The Program, tracking links, reporting systems, marketing materials, websites, platforms, and related services are provided “as is” and “as available.” VigMD makes no representation or warranty that the Program will be uninterrupted, error-free, secure, profitable, or available at any particular time, or that any referral link, code, cookie, platform, report, product, service, offer, or campaign will remain available.  To the fullest extent permitted by law, VigMD shall not be liable for any indirect, incidental, consequential, special, exemplary, punitive, enhanced, or lost-profit damages, including lost revenue, lost business, lost goodwill, lost data, lost commissions, tracking failures, platform downtime, advertising costs, or reputational harm, arising out of or relating to the Program or these Terms, even if VigMD has been advised of the possibility of such damages.  To the fullest extent permitted by law, VigMD’s aggregate liability arising out of or relating to these Terms shall not exceed the amount of approved commissions actually paid by VigMD to Affiliate during the three (3) months preceding the event giving rise to the claim.  The limitations in this Section shall not limit Affiliate’s payment obligations, indemnification obligations, confidentiality obligations, intellectual property obligations, data protection obligations, or liability for fraud, willful misconduct, unlawful marketing, or violation of applicable law.

12. 	Indemnity.  Affiliate shall indemnify, defend, and hold harmless VigMD and its parents, subsidiaries, affiliates, owners, officers, directors, employees, contractors, providers, pharmacies, vendors, agents, successors, and assigns from and against any and all claims, demands, actions, investigations, proceedings, damages, losses, liabilities, fines, penalties, settlements, judgments, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:

Affiliate’s breach of these Terms or any Program policy;

Affiliate’s marketing, advertising, promotional, lead generation, referral, email, SMS, telemarketing, social media, influencer, or content activities;

any false, misleading, deceptive, unsubstantiated, medical, clinical, prescription, pharmacy, testimonial, endorsement, or health-related claim made by Affiliate;

Affiliate’s failure to provide required disclosures or comply with FTC requirements;

Affiliate’s violation of CAN-SPAM, TCPA, privacy laws, consumer protection laws, healthcare advertising laws, platform rules, or other applicable requirements;

Affiliate’s collection, use, storage, processing, disclosure, sale, transfer, or security of consumer data;

Affiliate’s infringement, misuse, or alleged infringement or misuse of any intellectual property, publicity, privacy, or other rights;

Affiliate’s fraud, negligence, willful misconduct, or unlawful conduct; or

any act or omission of Affiliate’s employees, contractors, agents, subcontractors, media buyers, influencers, networks, vendors, or representatives.

VigMD may control the defense and settlement of any claim subject to indemnification. Affiliate shall not settle any claim in a manner that imposes liability, admission, obligation, or restriction on VigMD without VigMD’s prior written approval.

13.	Confidentiality; Data Protection.  Affiliate may receive or access non-public information, including but not limited to, information relating to VigMD, the Program, customers, pricing, commissions, conversion data, marketing strategy, vendors, products, services, technology, business plans, or other confidential or proprietary information (“Confidential Information”). Affiliate shall use such Confidential Information solely to participate in the Program and shall not disclose any Confidential Information to any third party without VigMD’s prior written consent.  Further, Affiliate shall not collect, process, store, sell, transfer, or disclose any Confidential Information including but not limited to personal information, health information, lead information, or customer information on behalf of VigMD unless expressly authorized in writing. If Affiliate is authorized to collect or process any such Confidential Information, Affiliate shall comply with all applicable privacy, data security, consent, consumer protection, telemarketing, and healthcare requirements and shall implement reasonable administrative, technical, and physical safeguards to protect such Confidential Information.  Affiliate shall promptly notify VigMD of any actual or suspected unauthorized access, use, disclosure, loss, or compromise involving Confidential Information. Affiliate shall not sell, rent, transfer, reuse, retarget, remarket to, or otherwise exploit VigMD customer, lead, referral, Program data, or Confidential Information except as expressly authorized by VigMD in writing.

14.	Modification of Terms and Program Policies.  VigMD may update, modify, suspend, or replace these Terms, the Program, commission rates, payment terms, approved channels, Program policies, brand guidelines, compliance requirements, and promotional rules at any time. Changes may be posted through the Program platform, sent by email, or otherwise made available to Affiliate.  Unless otherwise stated by VigMD, changes will apply prospectively upon posting or notice. Changes required for legal, regulatory, clinical, fraud-prevention, platform, brand, or compliance reasons may take effect immediately. Affiliate’s continued participation in the Program after changes become effective constitutes acceptance of the updated terms. If Affiliate does not agree to any updated terms, Affiliate’s sole remedy is to stop participating in the Program.

13.	Governing Law; Venue; Remedies.  These Terms shall be governed by and construed in accordance with the laws of the State of Ohio, without regard to conflicts-of-law principles. Subject to VigMD’s right to seek injunctive or equitable relief in any court of competent jurisdiction, the parties consent to the exclusive personal and subject matter jurisdiction and venue of the state and federal courts located in or about Athens, Ohio or the United States District Court for the Southern District of Ohio for any dispute arising out of or relating to these Terms or the Program.  Affiliate hereby waives any objection to personal jurisdiction, venue, or forum non-conveniens in such courts. In any action or proceeding arising out of or relating to these Terms or the Program, the prevailing party shall be entitled to recover its reasonable attorneys’ fees and costs. Nothing in these Terms limits VigMD’s right to seek temporary, preliminary, or permanent injunctive relief, specific performance, or other equitable relief for actual or threatened violations involving intellectual property, confidentiality, data protection, unlawful marketing, brand misuse, or post-termination obligations.

14.	Jury Trial and Class Action Waiver.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AFFILIATE KNOWINGLY, VOLUNTARILY, IRREVOCABLY, AND EXPRESSLY WAIVES ANY RIGHT TO TRIAL BY JURY IN ANY ACTION, CLAIM, COUNTERCLAIM, OR PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS, THE PROGRAM, OR AFFILIATE’S PARTICIPATION IN THE PROGRAM.

AFFILIATE FURTHER AGREES THAT ANY CLAIM, ACTION, OR PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS, THE PROGRAM, OR AFFILIATE’S PARTICIPATION IN THE PROGRAM SHALL BE BROUGHT ONLY ON AN INDIVIDUAL BASIS, AND NOT AS A PLAINTIFF, CLAIMANT, CLASS MEMBER, REPRESENTATIVE, OR PRIVATE ATTORNEY GENERAL IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, REPRESENTATIVE, OR MASS ACTION OR PROCEEDING. AFFILIATE EXPRESSLY WAIVES ANY RIGHT TO PARTICIPATE IN, COMMENCE, MAINTAIN, OR RECOVER RELIEF IN ANY SUCH CLASS, COLLECTIVE, CONSOLIDATED, REPRESENTATIVE, OR MASS ACTION OR PROCEEDING TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

14. 	Contact Information.  Affiliate shall provide VigMD with complete, accurate, and current contact, payment, tax, and notice information, including Affiliate’s legal name, business name, mailing address, email address, telephone number, payment information, tax documentation, and any other information reasonably requested by VigMD in connection with the Program. Affiliate shall promptly notify VigMD in writing of any change to such information, including any change to Affiliate’s legal name, business name, ownership, address, email address, telephone number, payment information, tax status, approved promotional channels, websites, social media accounts, or other contact or account information.  Affiliate’s failure to maintain current and accurate information may result in delayed payments, withholding of commissions, suspension of Program participation, or termination from the Program. VigMD shall not be responsible for any failed notice, missed communication, delayed payment, tax reporting issue, or other consequence arising from Affiliate’s failure to provide or update accurate information.
